Marvell Completes Acquisition of Intel’s Communications and Applications Processor Business
Santa Clara, California (November 8, 2006) — Marvell Technology Group, Ltd. (NASDAQ: MRVL), the leader in storage, communications and consumer silicon solutions, today announced that it has completed the acquisition of Intel’s cellular and applications processor business. On June 27, 2006, Marvell announced that it agreed to purchase Intel’s cellular communications and applications processor business for $600 million plus the assumption by Marvell of certain liabilities. Along with this purchase, Marvell also acquires a patent portfolio covering cellular and application processor technologies. This purchase will give Marvell a strong presence in the growing market segment for cellular baseband and applications processors used in cellular and smart handheld devices.
“Marvell’s mission is to be a long-term, leading supplier in the cellphone and consumer electronics markets”, said Dr. Sehat Sutardja, Marvell’s chairman, president and CEO. “By adding cellular baseband and applications processors to our broad, diverse product portfolio we continue to expand the reach of Marvell technology into an increasing number of consumer devices and end markets.”
In connection with the acquisition, Marvell made a cash payment of $600 million for the purchase price. Marvell also completed its previously announced senior term loan facility in an aggregate principal amount of $400 million which was used together with existing cash on hand to pay the purchase price for the acquisition. Marvell may record a one-time charge for purchased in-process research and development expenses during the fourth quarter of fiscal 2007. The amount of that charge, if any, has not yet been determined.
With this acquisition, Marvell will design and market a family of processors (codenamed Monahans) for wireless and embedded applications. These products are based on the third generation of Intel Xscale® technology. This family of processors, which is starting to ship in volume, offers a wide range of performance, power and integration levels to meet the needs of feature handsets, smartphones, handhelds and consumer electronic devices. The Monahans family will deliver improved performance and extended battery life, enabling advanced applications that offer end-users a richer experience, less power, and multitasking ability to increase both user satisfaction and overall usage. Marvell continues to increase its investment in development of highly integrated CPU families, like ‘Feroceon’ and ‘Monahans’, that push the limits of MIPS/mw capabilities of next generation mobile devices.

Teridian Enters Industrial Automation and Control Market with Precision Measurement Controller
Irvine, California - October 16, 2006 - Teridian Semiconductor Corp. today made its official entrance into the industrial automation and control market with the introduction of the 71M8100 Measurement Controller, optimized for industrial applications including process instrumentation, temperature and pressure sensors, weigh scale, medical instrumentation, data acquisition and programmable logic controller (PLC) applications.
"This move is a natural next step in our company's evolution and builds on our leadership position in the power measurement and metering space that lies at the edge of the industrial automation and control market," said Steve McClure, vice president of marketing, Teridian Semiconductor. The Teridian 71M8100 is a low-cost, mixed-signal SOC with a high-precision 22-bit sigma-delta ADC complemented by a single cycle execution 8051 compatible MCU and an independent 32-bit Compute Engine (CE) to perform various filtering, measurement and compensation functions depending on the target application. Data storage options include external EEPROM, on-chip FLASH, or RAM with battery backup support.
The 71M8100's unique architecture provides designers with the option to direct connect, or select from a range of low-cost to high-performance commercial front-end amplifiers to meet specific accuracy requirements at various cost points. Maximum design flexibility is supported with 3 analog inputs, 2 UART ports, I2C serial control, 5V LCD charge pump, up to 12 DIO pins, an in-system programmable FLASH, real time clock (RTC), 64KB FLASH, internal 128 segment LCD driver, and a high precision voltage reference to enable high accuracy and low cost solutions in a highly integrated 64-pin LQFP package.

Hauppauge, NY USA - August 16, 2006 - Central Semiconductor Corp. announces the release of the new CMF5.0A series transient voltage suppressors (TVS) packaged in the SOD-123F surface mount case. The series includes reverse stand-off voltages from 5.0V thru 170V all with a peak power of 200W. Designed for protecting sensitive electronic components from high voltage transients, these new devices are ideal for industrial, computer, consumer electronic, and Power over Ethernet (PoE) applications. The CMF5.0A series also exhibit very low leakage current, low clamping voltage, and fast response time. The SOD-123F, with outline dimensions of 1.8 x 2.8 x 0.98 mm, is essentially the same size as the SOD-123, but that is where the similarity ends. Hauppauge, NY USA - June 13, 2006 - Central Semiconductor Corp. announces the release of the CMKTC825A temperature compensated (TC) Zener diode packaged in a space saving ULTRAmini SOT-363 surface mount case. This new device is the World's first TC Zener in a plastic surface mount package. Utilizing a new proprietary process technique, the CMKTC825A provides a highly stable reference voltage of 6.2V with only a small voltage change of less than 0.28mV/°C over the temperature range of -55°C to +100°C. This is a considerable improvement compared to a standard Zener diode, which typically exhibits a voltage change of 500mV over the same temperature range. In addition, the CMKTC825A occupies only 4.2 mm² of circuit board space and has a low profile of 1.0mm.

Ramtron launches fast and flexible Versa 8051 MCU:
COLORADO SPRINGS, CO — May 2, 2006 — Ramtron International Corporation (Nasdaq: RMTR), a leading developer and supplier of nonvolatile ferroelectric random access memory (FRAM) and integrated semiconductor products, today introduced the VRS51L2070, a fast and flexible 8051-based microcontroller that delivers the power and speed of a 16-bit MCU without migrating from an 8-bit device.
“The VRS51L2070 meets the current market demand for a high performance MCU, without a costly investment in new architecture and code,” explains Irv Lustigman, General Manager of Ramtron Canada. “This optimizes system performance, but keeps development costs to a minimum.”
Upgrade 8-bit designs with a high performance Versa 8051 MCU
The VRS51L2070 is the newest product in Ramtron’s Versa 8051 MCU family. This fully integrated, high performance system-on-chip incorporates an advanced 40-MIPS, single-cycle 8051-core, 64KB Flash with In-System/In-Application Programming, 4KB SRAM, a JTAG program/debug interface, digital signal processing (DSP) extensions and a robust digital peripheral set. World's Smallest Schottky Bridge Rectifiers

The CBRHDSH1-40L (1 Amp) and CBRHDSH2-40 (2 Amp) devices are 40 Volt low VF bridge rectifiers with a typical VF of 0.39V @ 1.0A and 0.45V @ 2.0A, respectively. World's Smallest Darlington Transistor

Marvell to Acquire the Printer ASICs Business of Avago Technologies
Santa Clara, California, (February 21, 2006) — Marvell (NASDAQ: MRVL), the leader in development of storage, communications, and consumer silicon solutions, today announced a definitive agreement to acquire the printer semiconductor business of Avago Technologies.
Avago Technologies is the world’s largest privately held semiconductor company, with 6,500 employees and net revenue of $1.8 billion in fiscal 2005. Avago provides an extensive range of analog, mixed-signal and optoelectronic components and subsystems to more than 40,000 customers worldwide. Avago’s Printer ASICs business is a leading supplier of system-on-chip and system level solutions for both inkjet and laser jet printer systems.
“With this transaction, we are very excited to have this talented and experienced team join the Marvell family,” stated Dr. Sehat Sutardja, Marvell's President and CEO. “We also look forward to the opportunity to further expand the performance and capabilities of these advanced printer solutions by leveraging our broad portfolio of complementary high performance technology.”
Under the terms of the definitive agreement, Marvell will pay $240 million in cash upon closing. The acquisition is expected to close within sixty days following the satisfaction of regulatory requirements and other customary closing conditions. Additionally, in accordance with the definitive agreement, Marvell may pay an additional $35 million upon certain defined milestones being achieved. Upon closing, Marvell may record a one-time charge for purchased in-process research and development expenses. The amount of that charge, if any, has not yet been determined. On a pro forma basis excluding the amortization and write-off of acquired intangible assets and stock-based compensation, the transaction is expected to be accretive to Marvell’s earnings per share.

Family Enables Standards-Based Remote Radio Head Network Topologies
PMC-Sierra, Inc. (Nasdaq:PMCS) today announced the PM7830 BRIC(TM)-6 and PM7832 BRIC-2, full-featured 6-port and 2-port termination devices that fully support the Common Public Radio Interface (CPRI) specification for wireless base station interconnect. PMC-Sierra's interface solutions make it possible for OEMs and ODMs to offer all defined Remote Radio Head (RRH) network topologies with a standard digital interconnect for distributed base station systems. The BRIC product family:

The acceptance of this draft specification enables Marvell’s key customers, who have been working with Marvell 88W836X chipsets for several months, to launch products in Q106.

Marvell Chipset Solutions for the IEEE 802.11n Draft Specification
Marvell is offering a broad range of WLAN chipsets targeted at retail clients, PCs, laptops, access points, routers, gateways and embedded consumer devices. These include the Marvell 88W8360 and 88W8361 system on chip (SoC) baseband MAC solutions and the Marvell 88W8060 integrated circuit radio.
Marvell is also offering the 88W8660 and 88F5181 CPUs running at 500MHz speed for a wide range of access points and routers. End-user products utilizing 88W8660 and 88F5181 will range from mainstream access points to dual NIC 600Mbps wireless gateways compliant with the IEEE 802.11n draft specification. . These CPU’s are based on Marvell’s proprietary Feroceon ARM CPU architecture which leverages a variable stage pipeline to minimize power usage while maximizing processor cycles for optimal performance/power ratios.
The Marvell Total Solution is completed by the Company’s acclaimed family of fast ethernet and gigabit ethernet switches, and power management solutions.
Marvell Reference Designs for the IEEE 802.11n Draft Specification
The following reference designs based on the 88W836X family are currently being used by the OEMs and ODMs:
* MC-85 for PCI Express® mini card
* CB-85 for dual band CardBus clients
* MB-85 for Mini PCI™ dual band client cards
* AP-82 for mainstream access points and router designs (single and dual band)
* AP-85 for high-end entertainment and service class gateways and routers
